General conditions of remote sale

The commercial site www.stella-babyfoot.com is an electronic commerce site accessible by the Internet network (hereafter the Site)

It is published and operated by Stella Loisirs, a simplified joint stock company with a share capital of 150,000 euros, registered with the Lille Métropole Trade and Companies Register under number 402 493 522, whose registered office is located at 159 rue de Rotterdam - 59200 Tourcoing - France (hereinafter referred to as the Vendor)

The Seller's telephone number is: + 33 3 20 68 09 38 and his e-mail address is: contact@stella-babyfoot.com.

The Seller sells foosball tables, billiards, spare parts, if necessary customized, as well as derivative products and traditional games (hereinafter the Products).

  1. Purpose and scope of the GTC

The present general terms and conditions of sale (hereinafter the GTC) apply, without restriction or reserve, to all sales of Products concluded on the Site, by e-mail or by telephone between the Seller on the one hand, and non-professional consumers acting exclusively for their personal needs and without direct connection with a commercial activity (hereinafter the Buyer) on the other hand.

The GTC specify in particular the conditions of order, payment and delivery of the Products ordered by the Purchaser by telephone, by e-mail or on the Site.

The GTC apply to the exclusion of all other conditions, and in particular those applicable to the sale of Products in stores or through other distribution and marketing channels.

The GTC are accessible at any time on the Site. They are systematically communicated to the Buyer prior to placing an order and prevail, if necessary, over any other version or any other contradictory document.

  1. Acceptance of the T&Cs

The Buyer declares that he/she has read the GTC and accepted them before placing his/her order. The validation of the order by the Buyer is worth acceptance without restriction nor reserve of the CGV.

The Buyer declares that he/she is legally capable of entering into this contract, including the GTC, i.e. that he/she has reached the age of majority and is not under guardianship or curatorship.

  1. Description of the products

The main characteristics of the Products, including all the substantial information required by the applicable regulations and in particular the specifications, illustrations and indications of dimensions or capacity of the Products, are presented to the Purchaser on the Site, prior to his order.

The Buyer is required to refer to the description of each Product in order to know its properties, essential characteristics and delivery times.

The contractual information is presented in French and is subject to confirmation at the latest at the time of validation of the order by the Purchaser.

The photographs and graphics presented on the Site are not contractual and do not engage the responsibility of the Seller.

The Buyer acknowledges and agrees that the selection, customization and purchase of a Product are the sole and entire responsibility of the Buyer.

Unless proven otherwise, the data recorded in the Seller's computer system shall constitute proof of all transactions concluded with the Buyer.

In any event, Seller does not warrant the suitability of the Products for Buyer's particular needs or that the functions performed by the Products will meet Buyer's needs.

  1. Availability of Products

The Buyer is informed at the time of his or her order, either by customer service if the order is placed by telephone or e-mail, or on the information page of the Site describing the Products if the order is placed on the Site, of the availability or unavailability of the Products.

If, despite the vigilance of the Seller, the ordered Products are no longer available, the Seller shall inform the Buyer by any means (phone call, e-mail or mail) as soon as possible. The Buyer will then have the option to either cancel or modify his order. In the event of cancellation due to unavailability, the Buyer will be reimbursed within fourteen (14) days from the receipt of the cancellation request.

In any case, the Seller is not responsible in case of unavailability of a Product and reserves the right to modify at any time and without notice the Products offered for sale.

  1. How to order

    1. Order by phone and e-mail

The Buyer can proceed to the order of Products

  • by telephone, from Monday to Friday (except public holidays) as well as on exceptional opening days, from 10am to 6pm, by contacting the Seller's customer service at this number: + 33 3 20 68 09 38 (price of a local call), or

  • by e-mail by writing to the following address: : contact@stella-babyfoot.com.

To place an order, Buyer must provide the following information:

  • Product information: name, part number, quantity, if any, color, size, material, finish, and any other identifying information needed by Seller; and

  • identification data: title, first name, last name, telephone number, e-mail address, billing address and, if applicable, delivery address.

  1. Ordering on the Site

The Buyer can place his order on the Site.

In this case, it is up to him to select on the Site the Product(s) he wishes to buy. The said Product is then added to his "Shopping Cart". The Buyer can freely modify his " Shopping Cart ", delete a Product initially selected, modify the quantities ordered or add a Product by clicking on the corresponding elements.

Once the Buyer has completed his selection and wishes to validate the composition of his "Basket", he must identify himself with his e-mail address and password. The Buyer can also proceed with his order as a "Guest", a customer account not being required to place an order on the Site.

The identifier and the password of the Buyer are strictly personal. Consequently, the Buyer commits himself to keep these last ones in full safety and never to communicate them to third parties. In case of loss, theft or any fraudulent use of his customer account, the Buyer commits himself to inform immediately the Seller.

The Buyer must also choose the method of shipment (delivery or workshop pickup) and complete the information necessary for the proper preparation and shipment of the order. doit également choisir le mode d’expédition (livraison ou retrait atelier) et compléter les informations nécessaires à la bonne préparation et expédition de la commande.

  1. Confirmation of the order

The Buyer has the possibility to check the details of his order and in particular its price and to correct possible errors before confirming it. It is up to the Buyer to immediately notify the Seller of any error.

The registration of an order on the Site is made when the Buyer accepts the GTC by checking the box provided for this purpose and validates his order. This validation implies the acceptance of the entirety of these GTC.

The sale is final only after the sending to the Buyer of the confirmation of the acceptance of the order by the Seller by e-mail and cashing by this one of the entirety of the price.

Any order placed by the Buyer on the Site, by e-mail or by telephone and confirmed by the Seller constitutes the formation of a contract concluded at a distance between the Buyer and the Seller within the meaning of Article L. 221-1, I, 1° of the Consumer Code.

The Seller reserves the right to cancel or refuse any order from a Buyer with whom there is a dispute concerning the payment of a previous order.

  1. Order modification and cancellation

Once confirmed and accepted by the Seller, under the conditions described above, the order cannot be modified and cannot be cancelled, except in the event of the exercise of the right of withdrawal or force majeure.

  1. Product Prices

Orders placed on the Site, by e-mail or by telephone are orders with payment obligation.

The prices communicated by telephone or by e-mail by the Seller's customer service or displayed on the Site are expressed in euros and include all taxes, excluding delivery costs and any customs duties. They take into account any discounts that may be granted by the Seller.

The prices invoiced are those in effect on the date of the order by the Buyer, subject to the availability of the Products.

An invoice is established by the Seller and given to the Buyer upon delivery or collection of the ordered Products.

  1. Terms of payment

    1. Orders placed by phone or e-mail

When the order is placed by telephone or e-mail, the Buyer has the option of paying cash or paying a deposit corresponding to 40% of the total purchase price of the Products ordered, the balance of the price being payable at the latest on the day of shipment of the Products. The Buyer acknowledges in this respect that his order cannot be shipped until the balance of the price has been paid.

The Buyer can proceed to the payment of his order :

  • by credit card. Are accepted the cards of the network " CB ", Visa©, Eurocard©, MasterCard©, American Express© ;

  • in 2, 3 or 4 times via Alma ;

  • by using the payment link provided by the Seller ;

  • by bank check ;

  • by bank transfer. In this case, the Seller shall communicate by e-mail to the Buyer the bank details of the Seller's account to which the bank transfer must be made. The transfer fees, if imposed by the Buyer's bank, will be charged to the Buyer.

Payments by bank transfer or check must mention the order number and may result in an increase in delivery time, given the time required by banks to process this method of payment, and the Seller must ensure that the funds are available in his account before any delivery.

In all cases, the order is processed upon receipt of payment and subject to its collection. In case of refusal by the bank, the order is automatically cancelled.

  1. Orders placed on the Site

When the order is placed on the Site, the Buyer can proceed to the payment of the Products ordered by credit card, through Paypal or in 2, 3 or 4 times through Alma.

  1. Late payment

Late payment shall also result in the immediate payment of all sums due by Buyer, without prejudice to any other action that Seller may be entitled to take against Buyer in this regard. In addition, Seller reserves the right, in the event of failure to comply with the above payment terms, to suspend or cancel delivery of any outstanding orders placed by Buyer.

  1. Delivery and reception of the Products

The delivery of the Products means the transfer to the Buyer of the physical possession or the control of the ordered Products.

In accordance with the provisions of the article L. 216-4 of the Code of the consumption, the delivery of Products is accompanied by the handing-over of the note of use, the instructions of installation and a writing mentioning the possibility of formulating reserves.

The Buyer is required to check the condition of the packaging and the Products delivered and their conformity. The Buyer must immediately inform the delivery person of any reservations he or she wishes to make concerning the condition of the delivered Product so that they can be mentioned on the transport document: damaged packaging, damage suffered, conformity with the order, etc.

Any complaint concerning apparent defects or the non-conformity of the delivered Product in relation to the information given at the time of the presentation of the Product on the Site, as well as any damage linked to transport, must be confirmed by the Buyer to the Seller within forty-eight (48) hours following receipt of the Product, either by registered letter with acknowledgement of receipt to the following address, Stella Loisirs SAS, 159, rue de Rotterdam - 59200 Tourcoing - France, or by e-mail to the following address: contact@stella-babyfoot.com.

The Buyer must provide any justification as to the reality of the non-conformities, damage or defects noted (photos in particular).

If no claim is made within the above-mentioned period and conditions, the Products delivered shall be deemed accepted by the Buyer.

By reporting the defect or non-conformity of the Product, the Buyer shall obtain a return authorization from the Seller, specifying the address and the terms of return of the Products.

Once the return authorization is obtained, Buyer shall ship the Products back to Seller at the address specified on the return authorization in the manner indicated.

Any Product returned without Seller's approval will be refused and returned to Buyer at Buyer's expense and risk.

To be validly returned to Seller and/or exchanged, the Products must not have been used and must be returned intact in their original packaging with any accessories, user manuals and other documentation.

In the event that the Buyer returns the Product for a proven lack of conformity confirmed by the Seller, the Buyer must use the same method of delivery for the return of the Products as the one chosen for the shipment of the Products ordered. In this case, the return costs will be paid by the Seller by means of a return voucher or, failing that, by reimbursing the Buyer for the actual amount of the said costs (the proof of the shipping costs must be attached to the package; in the event of absence, no reimbursement can be demanded by the Buyer).

  1. Methods of shipment of Products

  1. Product delivery

When the order is placed on the Site, delivery can only be made in the following countries: Austria, Belgium, France, Germany, Italy, Luxembourg, Netherlands, Portugal and Spain. For any order outside this delivery area, the Buyer is invited to place his order by telephone or by e-mail.

The Products ordered by the Buyer are delivered to the address indicated by the Buyer at the time of his order.

The Buyer must ensure that the delivery information he/she provides when ordering is correct. The Buyer acknowledges that incorrect information may result in a delay or loss of the order.

The delivery times are indicated to the Buyer at the time of the order. They vary according to the delivery method chosen. They begin to run from the moment the Products are manufactured and handed over to the carrier for delivery, subject to full payment by the Buyer. The Seller undertakes to make its best efforts to deliver the products ordered by the Buyer within the time limits specified at the time of the order. However, these deadlines are communicated as an indication.

If the ordered Products were not delivered within thirty (30) days after the indicative date of delivery, for any other cause than the force majeure or the fact of the Buyer, this last one will be able to notify to the Salesman, under the conditions envisaged in the article L. 216-6 of the Code of the consumptionles :

  • or the suspension of the payment of all or part of the price until the Seller performs, under the conditions provided for in Articles 1219 and 1220 of the Civil Code (exception of non-performance) ;

  • the resolution of the sale, after having put the Seller on notice to perform within a reasonable additional time period not respected by the Seller.

Termination may be immediate if the Seller refuses to perform or if it is clear that it will not be able to deliver the Products or if the delivery time not respected was, for the Buyer, an essential condition of the sale.

In the event of termination of the sale, the sums paid by the Buyer shall be returned to him at the latest within fourteen (14) calendar days following the date of termination of the contract, to the exclusion of any compensation or deduction.

Where applicable, deliveries shall be made by an independent carrier to the address given by Buyer at the time of ordering and to which the carrier has easy access. The Buyer acknowledges that the carrier is responsible for delivery and has no recourse against the Seller in the event of non-delivery of the goods transported.

  1. Withdrawal at the workshop

The Buyer has the possibility of choosing the option "Withdrawal from workshop", at the time of his order, allowing him to withdraw this last one to the workshop of the Salesman located at Tourcoing (59).

The Product(s) ordered will be made available within the time period communicated by the Seller at the time of the order, subject to full payment of the price.

As soon as the order is made available, the Buyer is immediately informed by any means (e-mail, sms, phone call). He then has a period of fifteen (15) days to collect his order from the workshop.

For the withdrawal of his order, the Buyer must present the message of provision of his order that he received and a valid proof of identity. The order is then given to the Buyer against signature of a withdrawal form.

The Buyer can also ask a person of his choice to come and collect the order in his place and on his behalf. In this case, the person he mandates will have to present, in addition to a proof of identity and the message of provision of his order that the Buyer received, the authorization of withdrawal duly dated and signed by the Buyer.

  1. Reservation of ownership

The Products ordered by the Buyer shall remain the property of the Seller until full payment has been received by the Seller.

On the other hand, the Buyer assumes the risks of loss, theft or deterioration related to the Products delivered as of their delivery date or as of their collection in the event of withdrawal from the Seller's workshop.

  1. Right of withdrawal

In accordance with articles L. 221-28 and following of the Consumer Code, the Buyer has a period of fourteen (14) calendar days from the delivery of the Products to exercise his right of withdrawal from the Seller, without having to justify his reasons or pay any penalty.

The right of withdrawal may be exercised using the withdrawal form available in the appendix hereto, in which case an acknowledgement of receipt on a durable medium shall be immediately communicated to the Buyer, or any other unambiguous statement expressing the desire to withdraw. .

Returns must be made in their original and complete condition (packaging, pallet, accessories, instructions, etc.) allowing them to be put back on the market in new condition, accompanied by the purchase invoice. Damaged, soiled or incomplete Products are not accepted.

In the event of exercising the right of withdrawal within the above-mentioned period, only the price of the Product(s) purchased and the delivery costs will be reimbursed, the return costs remaining at the Buyer's expense.

The reimbursement of the Buyer is made within fourteen (14) calendar days from the notification of his decision of withdrawal.

The Buyer acknowledges that he/she has been informed and accepts that, in accordance with article L. 221-28 3 of the French Consumer Code, he/she does not have such a right of retraction for personalized Products made according to and/or on his/her request.

  1. Legal guarantees

    1. Guarantee of conformity

Les Produits fournis par le Vendeur bénéficient de plein droit et sans paiement complémentaire, indépendamment du droit de rétractation, conformément aux dispositions légales de la garantie légale de conformité prévue par les articles L. 217-3 à L. 217-20 du Code de la consommation, pour les Produits défectueux, abîmés ou endommagés ou ne correspondant pas à la commande.

Le Vendeur s’engage à délivrer un bien conforme à la description contractuelle ainsi qu’aux critères énoncés à l’article L. 217-5 du Code de la consommation. Il répond des défauts de conformité existant au moment de la délivrance des Produits et qui apparaissent dans un délai de deux (2) ans à compter de celle-ci.

Ce délai de garantie s’applique sans préjudice des articles 2224 et suivants du Code civil, la prescription commençant à courir au jour de la connaissance du défaut de conformité par l’Acheteur.

Les défauts de conformité qui apparaissent dans un délai de vingt-quatre (24) mois ou de douze (12) mois s’il s’agit d’un bien d’occasion à compter de la délivrance des Produits, sont, sauf preuve contraire, présumés exister au moment de la délivrance.

En cas de défaut de conformité, l’Acheteur peut exiger la mise en conformité des Produits délivrés par réparation ou leur remplacement ou, à défaut, une réduction du prix ou la résolution de la vente, dans les conditions légales.

Il peut également suspendre le paiement de tout ou partie du prix du Produit jusqu’à ce que le Vendeur ait satisfait aux obligations qui lui incombent au titre de la garantie légale de conformité, dans les conditions des articles 1219 et 1220 du Code civil.

La réparation ou le remplacement du Produit non conforme inclut, le cas échéant, l’enlèvement et la reprise de celui-ci ainsi que l’installation du Produit mis en conformité ou remplacé.

Tout Produit mis en conformité dans le cadre de la garantie légale de conformité bénéficie d’une extension de cette garantie de six (6) mois.

En cas de remplacement du Produit non conforme lorsque, malgré le choix de l’Acheteur la mise en conformité n’a pas été effectuée par le Vendeur, le remplacement fait courir, au profit de l’Acheteur, un nouveau délai de garantie légale de conformité, à compter de la délivrance du Produit remplacé.

Si la mise en conformité sollicitée est impossible ou entraîne des coûts disproportionnés dans les conditions prévues à l’article L. 217-12 du Code de la consommation, le Vendeur peut la refuser. 

Si les conditions prévues à l’article L. 217-12 du Code de la consommation ne sont pas remplies, l’Acheteur peut, après mise en demeure, poursuivre l’exécution forcée en nature de la solution initialement sollicitée, conformément aux articles 1221 et suivants du Code civil.

L’Acheteur peut enfin exiger une réduction de prix ou la résolution de la vente (sauf si le défaut de conformité est mineur) dans les cas prévus à l’article L. 217-14 du Code de la consommation.

Lorsque le défaut de conformité est si grave qu’il justifie que la réduction du prix ou la résolution immédiate de la vente, l’Acheteur n’est alors pas tenu de demander au préalable la réparation ou le remplacement du Produit non conforme.

La réduction du prix est proportionnelle à la différence entre la valeur du Produit délivré et la valeur de ce bien en l’absence du défaut de conformité.

En cas de résolution de la vente, l’Acheteur est remboursé du prix payé contre restitution des Produits non conformes au Vendeur, aux frais de ce dernier.

Le remboursement est effectué dès réception du Produit non conforme et au plus tard dans les quatorze (14) jours calendaires suivants, avec le même moyen de paiement que celui utilisé par l’Acheteur lors du paiement, sauf accord exprès de ce dernier et en tout état de cause sans frais supplémentaire.

  1. Garantie contre les vices cachés

Les Produits fournis par le Vendeur bénéficient de plein droit et sans paiement complémentaire, indépendamment du droit de rétractation, conformément aux dispositions légales, de la garantie légale contre les vices cachés provenant d’un défaut de matière, de conception ou de fabrication affectant les produits livrés et les rendant impropres à l’utilisation.

L’Acheteur peut décider de mettre en œuvre la garantie contre les défauts cachés des Produits conformément à l’article 1641 du Code civil. Dans ce cas, il peut choisir entre la résolution de la vente ou une réduction du prix de vente conformément à l’article 1644 du Code civil.

  1. Garantie commerciale

Une garantie commerciale est incluse pour l’achat par l’Acheteur de certains produits dans les conditions suivantes (ci-après la Garantie).

Les Produits couvert par la Garantie et la durée afférente sont les suivants :

  • les caisses des baby-foots, qu’elles soient personnalisés ou non, pour une durée de cinquante (50) ans étant précisé que cette durée est de deux (2) ans pour les baby-foots extérieurs (outdoor) ;

  • les barres et les amortissements des baby-foots qu’ils soient personnalisés ou non pour une durée de deux (2) ans ;

  • les billards, qu’ils soient personnalisés ou non, pour une durée de deux (2) ans ;

  • les pièces détachées pour une durée de deux (2) ans.

La Garantie court à compter du jour de la livraison ou du retrait du Produit concerné par l’Acheteur. 

La Garantie s’applique aux Produits remplacés ou réparés durant la période de garantie, dans la limite de la période de Garantie restant à courir à compter du jour du remplacement ou de la réparation. 

Le remplacement ou la réparation du Produit défectueux ne prolonge pas la durée de la Garantie. 

La Garantie couvre la réparation ou le remplacement par le Vendeur et à ses frais des Produits affectés d’une défectuosité de matière ou de fabrication. Ces défectuosités sont celles qui rendent le Produit inapte à l’usage habituel pour lequel il a été construit, et attendu pour des Produits semblables. 

La Garantie ne s’applique pas aux Produits :

  • n’ayant pas fait l’objet de conditions normales d’installation, d’utilisation ou d’entretien de la part de l’Acheteur ; 

  • en cas d’usure normale du Produit, d’accident ou de force majeure ;

  • présentant des dommages volontaires du fait de l’Acheteur ; 

  • ayant subi des dommages externes comme la chute, le choc d’un objet, un incendie, des catastrophes naturelles, etc. ; 

  • ouverts, démontés, cassés, percés ou coupés.

La Garantie ne couvre pas les frais d’entretien et de maintenance des Produits et les conséquences des catastrophes naturelles, des cas de force majeure ou de cas fortuit.

Pour mettre en œuvre la Garantie, l’Acheteur doit contacter le Vendeur par e-mail, par téléphone ou par courrier postal.

La Garantie ne s’applique qu’aux défauts reconnus comme tels par le Vendeur après examen du Produit. Si l’examen fait apparaître que la défectuosité du Produit n’est pas couverte par la Garantie, le Vendeur en informera l’Acheteur qui pourra alors demander que le Produit lui soit retourné à ses frais dans un délai d’un (1) mois.

Si l’examen fait apparaître que la défectuosité du Produit est couverte par la Garantie, le Vendeur décidera soit de procéder à ses frais à la réparation du défaut, soit de procéder au remplacement du Produit. Si le Produit n’est plus vendu par le Vendeur, ce dernier s’engage à le remplacer par un produit équivalent. 

Le Vendeur ne procédera à aucun remboursement du Produit dans le cadre de l’application de la Garantie. 

  1. Responsabilité

Le Vendeur s’efforce d’assurer au mieux de ses possibilités l’exactitude et la mise à jour des informations diffusées sur le Site, qu’il se réserve le droit de modifier, à tout moment et sans préavis. Toutefois, il ne peut garantir l’exactitude, la précision ou l’exhaustivité des informations figurant sur le Site. En conséquence, il décline toute responsabilité quant aux imprécisions, inexactitudes ou omissions portant sur les informations disponibles, ainsi que toute responsabilité relative aux dommages résultant d’une intrusion frauduleuse d’un tiers ayant entraîné une modification des informations contenues sur le Site.

Le Vendeur décline toute responsabilité et ne pourra être tenu pour responsable de tous dommages causés à l’Acheteur ou à un tiers dus à une utilisation du Produit non-conforme à sa destination.

Le Vendeur dégage sa responsabilité pour tout manquement à ses obligations contractuelles dans l’hypothèse d’une force majeure ou fortuite, y compris, mais sans y être limitées, catastrophes, incendies, grève interne ou externe, défaillance ou pannes internes ou externes, et d’une manière générale tout événement ne permettant pas la bonne exécution des commandes.

L’utilisation et la navigation sur le Site se font sous la responsabilité de l’Acheteur. Le Vendeur décline toute responsabilité et ne pourra être tenue pour responsable de tous dommages ou virus qui pourraient affecter l’équipement informatique ou tout autre matériel lors de l’accès au Site, de l’utilisation du Site ou de la navigation sur le Site, du téléchargement de tout contenu, données, textes, images ou fichiers à partir du Site.

En tout état de cause, la responsabilité contractuelle du Vendeur ne saurait être engagée qu’en raison de dommages directs causés à l’Acheteur, du fait d’une faute prouvée de sa part, à l’exclusion de tous dommages indirects et immatériels de quelque nature qu’ils soient, tels que perte de profits, perte de clientèle, perte de chance, préjudice d’image, préjudice financier, commercial ou immatériel. 

  1. Données à caractère personnel 

Le Vendeur est susceptible de recueillir des données à caractère personnel concernant l’Acheteur. La nature obligatoire ou facultative des champs à renseigner sera clairement signalée.

Les données obligatoires pour passer une commande sont notamment les suivantes : le nom et le prénom, la civilité, l’adresse complète, l’adresse e-mail et le numéro de téléphone. Si l’Acheteur ne souhaite pas communiquer ces données, le Vendeur ne pourra pas traiter sa commande.

Ces données peuvent être communiquées aux éventuels partenaires du Vendeur chargés de l’exécution, du traitement, de la gestion, du paiement ou de la livraison des commandes.

Le traitement des informations communiquées par l’Acheteur par téléphone, par e-mail ou par l’intermédiaire du Site répond aux exigences légales en matière de protection des données personnelles, le système d’information utilisé assurant une protection optimale de ces données.

L’Acheteur dispose, conformément aux réglementations nationales et européennes en vigueur d’un droit d’accès permanent, de modification, de rectification, d’opposition de portabilité et de limitation du traitement s’agissant des informations le concernant. Ce droit peut être exercé dans les conditions et selon les modalités définies sur le Site.

  1. Propriété intellectuelle

Le contenu du Site est la propriété du Vendeur et protégé par les lois françaises et internationales relatives à la propriété intellectuelle.

Toute reproduction totale ou partielle de ce contenu est strictement interdite et susceptible de constituer un délit de contrefaçon.

L’Acheteur ne dispose d’aucun droit de propriété intellectuelle ou industrielle sur les Produits, emballages, conditionnements, le Vendeur demeurant propriétaire exclusif de tous ces droits.

Toute utilisation de quelque manière que ce soit par l’Acheteur de la marque du Vendeur ou à ses fournisseurs et fabricants est strictement interdite, sauf accord du Vendeur.

À ce titre, et conformément aux dispositions du Code de la propriété intellectuelle, seule l’utilisation pour un usage privé sous réserve de dispositions différentes voire plus restrictives du Code de la propriété intellectuelle, est autorisée.

Aucune des dispositions des présentes CGV ne pourra être interprétée comme conférant à l’Acheteur une licence sur un quelconque droit de propriété intellectuelle.

  1. Stipulations diverses

Cession – L’Acheteur ne peut pas céder ses droits et obligations en vertu des CGV sans le consentement du Vendeur.

Langue – Les CGV sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français ferait foi en cas de litige.

Modification – Le Vendeur peut à tout moment modifier les CGV sans préavis. La modification des CGV fait l’objet, le cas échéant, d’un avis sur le Site. Le Vendeur invite l’Acheteur à consulter les CGV avant toute nouvelle commande. En tout état de cause, les CGV applicables sont celles en vigueur au jour de la passation de la commande par l’Acheteur.

Non-renonciation – Le fait pour le Vendeur de ne pas se prévaloir de l’un quelconque de ses droits au titre des CGV, ne saurait être interprété pour l’avenir comme une renonciation de sa part à l’exercice du droit en cause. 

Nullité et indépendance – Dans le cas où l’une des stipulations des CGV venait à être jugée par une juridiction compétente, nulle ou inopposable, en totalité ou en partie, en vertu de la loi, cette stipulation sera, dans la mesure nécessaire, réputée ne plus faire partie intégrante du CGV. Néanmoins la légalité, la validité et le caractère obligatoire des autres stipulations du CGV demeureront pleinement en vigueur et produiront leurs effets. 

Titres – Les intitulés des articles des CGV n’ont qu’une valeur indicative et n’ont pas de valeur contractuelle. En cas de contradiction entre le titre et le corps d’un article, il est entendu que le corps de l’article fait foi.

  1. Réclamations – Support technique

Pour toute question concernant les CGV ou en en cas de difficulté d’ordre technique, administrative ou commerciale, l’Acheteur peut contacter le service clients du Vendeur :

  • soit par e-mail à l’adresse suivante : contact@stella-babyfoot.com ;

  • soit par téléphone au numéro suivant + 33 3 20 68 09 38 ;

  • soit par courrier postal à l’adresse suivante : Stella Loisirs SAS, 159 rue de Rotterdam - 59200 Tourcoing - France.

Le Vendeur répondra à l’Acheteur dans les meilleurs délais.

  1. Droit applicable et résolution des litiges 

Les CGV sont régies et interprétées conformément au droit français. 

Pour toute réclamation ou différend, l’Acheteur est invité à contacter le service clients du Vendeur en premier lieu de façon à permettre la recherche d’une solution amiable.

L’Acheteur est informé que conformément à l’article L. 612-1 du Code de la consommation, il a la possibilité de recourir gratuitement à un médiateur en vue de la résolution amiable de son litige. Il peut notamment recourir à un médiation conventionnelle, notamment auprès de la Commission de la médiation de la consommation en ou auprès des instances de médiation sectorielles existantes ou à tout mode alternatif de règlement des différends (conciliation, par exemple) en cas de contestation.

L’Acheteur peut également accéder à la plateforme européenne de règlement des litiges en ligne prévu par le règlement (UE) n° 524/2013 du 21 mai 2013 relatif au règlement en ligne des litiges de consommation, notamment transfrontaliers, en suivant le lien http://ec.europa.eu/consumers/odr/

À défaut de solution amiable ou de recours à la médiation, tous les litiges auxquels les CGV pourraient donner lieu seront soumis au tribunal compétent en application des conditions de droit commun.

  1. Information précontractuelle - Acceptation de l’Acheteur

L’Acheteur reconnaît avoir été informé par le Vendeur de manière lisible et compréhensible, au moyen de la mise à disposition des présentes CGV, préalablement à son achat immédiat ou à la passation de la commande et conformément aux dispositions de l’article L. 221-5 du Code de la consommation :

  • sur les caractéristiques essentielles des Produits et notamment les spécifications, illustrations et indications de dimensions ou de capacité lui permettant d’acquérir les Produits en toute connaissance de cause, notamment en ce qui concerne leurs conditions d’utilisation. Les photographies et graphismes présentés ne sont pas contractuels et ne sauraient engager la responsabilité du Vendeur. L’Acheteur est tenu de se reporter au descriptif de chaque Produit afin d’en connaître les propriétés et les particularités essentielles ;

  • sur le prix des Produits et l’application d’un prix personnalisé sur la base d’une prise de décision automatisée et des frais annexes ou, en l’absence de paiement d’un prix, sur tout avantage procuré au lieu ou en complément de celui-ci ;

  • sur les délais de délivrance des Produits commandés ;

  • sur l’identité du Vendeur et l’ensemble de ses coordonnées ;

  • sur l’existence et les modalités de mise en œuvre des garanties (garantie légale de conformité, garantie des vices cachés, garantie commerciale) :

  • sur la possibilité de recourir à un médiateur de la consommation, dans les conditions prévues au Code de la consommation ;

  • sur le droit de rétractation (existence, conditions, délai, modalités d’exercice de ce droit et formulaire type de rétractation) ;

  • sur les moyens de paiement acceptés.

Le fait pour l’Acheteur, de commander par téléphone, par e-mail ou sur le Site emporte adhésion et acceptation pleine et entière des présentes CGV et obligation au paiement des Produits commandés, ce qui est expressément reconnu par l’Acheteur, qui renonce, notamment, à se prévaloir de tout document contradictoire, qui serait inopposable au Vendeur.

Le présent formulaire doit être complété et renvoyé uniquement si l’Acheteur souhaite se rétracter de la commande passée par téléphone auprès du service clients du Vendeur ou sur le site sur www.stella-babyfoot.com sauf exclusions ou limites à l’exercice du droit de rétractation suivant les CGV applicables.
